Biography

Scott has practiced exclusively in the area of public finance since 2004, serving as bond counsel, underwriter’s counsel, and trustee’s counsel on a variety of complex tax-exempt and taxable financings involving variable and fixed rate obligations; certificates of participation; demand bonds; general obligation and revenue bonds and notes; general obligation and revenue refunding bonds; pooled program loan bonds and notes; credit enhanced (insured, letter of credit supported, or county guaranteed) obligations; negotiated and competitive bond and note sales; borrowings through the New Jersey Environmental Infrastructure Trust; and new money, current refunding, and advanced refunding obligations.

Scott’s representations include bond counsel to borrowing municipalities, counties, and public authorities, including improvement, utilities, and sewerage authorities, within the State of New Jersey; underwriter’s counsel to various investment banking firms; and trustee counsel to numerous banks. He represents these clients in a variety of health-care, transportation, housing, education, capital equipment, sewer, and solid waste financings.

Bond Counsel

Representative matters include:

  • The Monmouth County Improvement Authority in connection with its issuance of $20,655,000 Governmental Pooled Loan Revenue Bonds, Series 2013A, the proceeds of which were used make loans to a certain municipality and a certain municipal sewerage authority to finance and/or refinance various capital projects of the borrowers and $9,110,000 Governmental Loan Revenue Bonds, Series 2013A (Howell Township School District Refunding Project) (Federally Taxable), the proceeds of which were used to refund certain outstanding bonds of the school district borrower.
  • The County of Passaic, New Jersey in connection with its issuance of $36,725,000 General Obligation Bonds, Series 2012, consisting of $23,155,000 General Obligation Bonds, Series 2012A (Tax-Exempt) and $13,570,000 General Obligation Bonds, Series 2012B (Taxable), the proceeds of which were used to refund on a current basis certain outstanding bond anticipation notes of the County.

Underwriter’s Counsel

Representative matters include:

  • Citigroup Global Markets Inc. in connection with $804,435,000 revenue bonds purchased from the New Jersey Turnpike Authority in connection with refunding various portions of its outstanding debt in order to achieve significant debt service savings.
  • J.P. Morgan Securities LLC in connection with $141,255,000 revenue bonds purchased from the New Jersey Turnpike Authority in connection with refunding various portions of its outstanding debt in order to achieve significant debt service savings and $1,400,000,000 revenue bonds purchased from the New Jersey Turnpike Authority in connection with the financing of its 10-year capital improvement program for the Turnpike System.

Prior to joining the Gibbons in 2007, Scott was an attorney in the public finance group of a private New Jersey law firm.
