Biography

Ha focuses her practice on franchise law and franchise relationship matters.  She regularly works with both franchisors and franchisees, ranging from emerging brands to highly sophisticated systems, giving her a well‑rounded perspective on franchise risk, system design, and long‑term brand strategy.

Ha advises franchisors on the development and registration of franchise disclosure documents, guiding clients through compliance with the FTC’s Amended Franchise Rule and applicable state franchise disclosure and relationship laws. She also assists clients with ongoing franchise relationship matters, including compliance issues, system updates, amendments, transfers, renewals, and operational disputes.  In addition, Ha counsels franchisees at various stages of the franchise relationship, allowing her to anticipate points of friction and offer solutions that are both legally sound and commercially viable. Her experience working on both sides of the franchise relationship enables her to structure documentation and strategies that are realistic in practice, not just on paper.

Beyond core franchise work, Ha’s broader commercial transactions experience enables her to provide practical legal insight across industries and to help clients structure agreements that support scalable growth and expansion. She regularly drafts and negotiates commercial arrangements for franchisors, purchasing cooperatives, retailers, national restaurant chains, and brand owners, including supply, distribution, wholesale, retail, and vendor agreements.

Ha brings a practical approach to her practice, shaped by her work with franchise systems and by life outside the office. When she’s not advising clients, she’s usually spending time with her family and their dog, an experience that reinforces the same skills she brings to her practice: patience, adaptability, and forward planning.

Ha earned her J.D. from the University of Louisville Brandeis School of Law where she graduated summa cum laude. During her time at law school, Ha served as the President and Public Relations Chair of the Women’s Law Caucus, Vice-President of the Student Bar Association, and Senator of the Student Government Association. Additionally, she was a Fellow for the Human Rights Advocacy Program, an Assistant for the Office of Student Affairs and Diversity, and a Member of the Journal of Law and Education.
