Brian maintains a diverse domestic and international corporate transactional practice with an emphasis on mergers and acquisitions, complex commercial contracts and transactions, corporate governance and the formation, structuring and entry of foreign businesses into the U.S. market. Brian’s counsel spans a broad range of industries, including high end fashion and luxury, retail, sports and entertainment (including international soccer), manufacturing, energy, steel, automotive, pharmaceuticals and technology.
Brian’s international experience includes clients headquartered in France, Germany, Italy, Sweden, Switzerland, the United Kingdom and other countries in Europe, as well as Mexico, Canada and Asia. He often serves as outside general counsel for his international clients and their U.S. subsidiaries and is a trusted advisor to both U.S. and international boards of directors and executive officers. Part of the firm’s cross-border transactions practice, he also advises international clients on U.S. inbound transactions, assists domestic clients with outbound international transactions, and provides transactional and litigation services to the firm’s German clients. He also helps run the firm’s foreign legal internship program, through which foreign law school graduates can obtain on a year-round basis a three- or four-month traineeship at the firm.
In addition, Brian often works with real estate property owners, developers and investors in structuring and negotiating joint ventures for the acquisition, ownership and development of residential, commercial and mixed-use real estate.
