Brian Masterson and Scott Dolson will be presenting part one of a three-session Masterclass Series on April 28th from 1 PM to 2 PM EST called Qualified Small Business Stock (QSBS): A Practitioner’s Complete Guide. The series will provide attorneys – whether in-house or in private practice – with a rigorous, practical command of QSBS under IRC §1202.

In Part One, Brian and Scott will be establishing the bedrock: who qualifies, what stock qualifies, and how to get it right from day one.

Learning objectives include:

• Identify the statutory requirements under IRC § 1202 for QSBS eligibility
• Distinguish between qualifying C corporation structures and non-qualifying
entities
• Apply the active business test and gross assets test to client scenarios
• Recognize common qualification failures and how to cure or avoid them
• Advise clients on original issuance requirements and permitted consideration
